TERMS OF SERVICE AGREEMENT
FOR RAW, UNEDITED IMAGE PURCHASE

This Terms of Service Agreement (the "Agreement") is entered into by and between the undersigned Client ("Client") and Holy City Images, a wedding photography business registered in the state of South Carolina ("Photographer"), regarding the purchase and use of RAW, unedited images (the "Images"). By purchasing or obtaining these Images, the Client agrees to the terms set forth herein.

1. GRANT OF LICENSE

The Photographer grants the Client a limited, non-exclusive, non-transferable license to possess and view the RAW, unedited images solely for personal use. This license does not grant the Client the right to alter, edit, distribute, or publicly display the Images in any manner inconsistent with this Agreement.

2. RESTRICTIONS ON USE

The Client acknowledges and agrees to the following restrictions:

  • The Images shall not be edited, altered, or retouched by any other photographer, editor, Client, or third party.

  • The Client shall not use the Images for commercial purposes, including but not limited to marketing, advertising, or resale.

  • The Client shall not claim the Images as their own work or attribute the Images to any other photographer or entity.

  • The Client may not submit the Images to any contests, publications, or social media without the express written permission of the Photographer.

  • The Client agrees that the Images shall not be used in any manner that may harm the reputation or business of the Photographer.

3. COPYRIGHT AND OWNERSHIP

All RAW, unedited images remain the sole intellectual property of the Photographer. The Client acknowledges that purchasing RAW images does not transfer copyright ownership. The Photographer retains full rights to use the Images for promotional, marketing, or portfolio purposes unless otherwise agreed upon in writing.

4. BREACH OF AGREEMENT & LEGAL ACTION

If the Client breaches any terms of this Agreement, including but not limited to unauthorized editing, distribution, or misrepresentation of the Images, the Photographer reserves the right to pursue legal action. Remedies may include but are not limited to:

  • Immediate revocation of the Client’s rights to use the Images.

  • Issuance of a cease-and-desist order.

  • Financial compensation for damages, attorney fees, and legal costs.

  • Injunctive relief to prevent further misuse.

5. LIABILITY & INDEMNIFICATION

The Photographer is not responsible for any unauthorized use of the Images by third parties once delivered to the Client. The Client agrees to indemnify and hold harmless the Photographer from any claims, damages, or legal disputes arising from the Client's misuse of the Images.

6. GOVERNING LAW & DISPUTE RESOLUTION

This Agreement shall be governed and interpreted in accordance with the laws of the State of South Carolina. Any disputes arising from this Agreement shall be resolved in the appropriate courts of South Carolina. The parties agree to attempt mediation before pursuing litigation.

7. AGREEMENT ACCEPTANCE

By downloading these images below, the Client acknowledges that they have read, understood, and agreed to the terms of this Agreement.
